Please read these Terms and Conditions carefully before using the Achrocall platform. These Terms form a legally binding agreement between you and Achrocall governing your access to and use of our AI phone agent service.
1. Acceptance of Terms
By accessing or using the Achrocall platform ("Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms. If you do not agree to these Terms, do not use the Service.
2. Description of Service
Achrocall provides an AI-powered phone agent platform that handles inbound and outbound calls, performs voice cloning, qualifies leads, and integrates with third-party CRM systems including HubSpot, Salesforce, and Google Sheets. The Service is provided on a subscription basis and is intended for business use only.
3. Eligibility
You must be at least 18 years old and capable of forming a binding contract to use the Service. The Service is not available to persons who have previously been suspended or removed from the Service. By using the Service, you represent that you meet these requirements.
4. Account Registration
You must create an account to access the Service. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at support@achrocall.com of any unauthorized use of your account.
5. Voice Cloning & AI Usage
The voice cloning feature requires you to provide a voice sample. By submitting a voice sample, you represent and warrant that: (a) the voice belongs to you or you have obtained explicit written consent from the person whose voice is being cloned; (b) the use of the cloned voice complies with all applicable laws, including but not limited to the Telephone Consumer Protection Act (TCPA) and applicable state laws; and (c) callers will be informed they may be speaking with an AI system where required by law. You are solely responsible for ensuring your use of voice cloning complies with applicable regulations. Achrocall prohibits use of voice cloning to deceive, defraud, or impersonate without consent.
6. Telephone Communications & Compliance
You are solely responsible for compliance with all applicable telecommunications laws and regulations, including the TCPA, the Telemarketing Sales Rule (TSR), Do Not Call registry requirements, and applicable state laws. You must obtain all required consents before placing calls using the Service. Achrocall does not provide legal advice and is not responsible for your compliance with applicable laws. You agree to indemnify Achrocall for any claims arising from your failure to comply with telecommunications regulations.
7. Prohibited Uses
You agree not to use the Service to: (a) violate any law or regulation; (b) place calls to numbers on the National Do Not Call Registry without proper exemption; (c) engage in deceptive, fraudulent, or misleading practices; (d) harass, abuse, or harm any person; (e) transmit spam, malware, or malicious content; (f) attempt to reverse engineer, decompile, or extract the underlying AI models; (g) resell or sublicense the Service without prior written authorization; or (h) use the Service in any manner that could damage, disable, or impair the Service or interfere with other users.
8. CRM Integrations
When you connect third-party services (HubSpot, Salesforce, Google Sheets, etc.) to Achrocall, you grant Achrocall permission to access and sync data with those services as directed by your configuration. You are responsible for ensuring you have the rights and permissions necessary to share data between these services and Achrocall. Achrocall is not responsible for errors, data loss, or service interruptions caused by third-party integrations.
9. Subscription & Billing
The Service is offered on a subscription basis. Fees are billed in advance on a recurring cycle as selected during sign-up. All fees are non-refundable except as expressly stated in our Refund Policy or required by applicable law. We reserve the right to change pricing with 30 days' written notice. Continued use of the Service after a price change constitutes acceptance of the new price. Failure to pay fees may result in suspension or termination of your account.
10. Intellectual Property
Achrocall and its licensors retain all right, title, and interest in and to the Service, including all underlying technology, AI models, software, and brand assets. You retain ownership of content you submit to the Service (call recordings, voice samples, customer data), subject to the licenses granted herein. You grant Achrocall a limited, non-exclusive license to process your content solely to provide the Service. Achrocall may use aggregated, anonymized usage data to improve its models and services.
11. Confidentiality & Data Security
Achrocall implements reasonable technical and organizational measures to protect your data. However, no system is completely secure. You are responsible for maintaining the security of your account credentials and for any data you transmit through the Service. In the event of a data breach that affects your personal information, Achrocall will notify you as required by applicable law.
12. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION. ACHROCALL DOES NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR THAT AI-GENERATED CALL RESPONSES WILL BE ACCURATE, COMPLETE, OR APPROPRIATE FOR YOUR BUSINESS.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ACHROCALL AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL ACHROCALL'S AGGREGATE LIABILITY EXCEED THE AMOUNTS YOU PAID TO ACHROCALL IN THE 12 MONTHS PRECEDING THE CLAIM.
14. Indemnification
You agree to indemnify, defend, and hold harmless Achrocall and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law; (d) your use of voice cloning technology; or (e) any content you submit through the Service.
15. Termination
Either party may terminate the agreement governed by these Terms at any time. You may cancel your subscription through your account settings. Achrocall may suspend or terminate your access immediately if you violate these Terms or applicable law. Upon termination, your right to use the Service ceases. Achrocall will retain your data for 30 days after termination, after which it may be deleted. Sections 10, 12, 13, 14, and 17 survive termination.
16. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any dispute arising under these Terms shall first be submitted to good-faith negotiation. If unresolved within 30 days, disputes shall be resolved by binding arbitration under the rules of the American Arbitration Association, conducted in English. CLASS ACTION WAIVER: You agree that disputes will be resolved on an individual basis and not as a class action or representative proceeding.
17. Changes to Terms
Achrocall reserves the right to modify these Terms at any time. We will notify you of material changes via email or a prominent notice within the Service at least 14 days before the changes take effect. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
